Subscription Terms and Conditions

Thank you for choosing LocalBusinessSpike.com. By purchasing or using any subscription service offered by Local Business Spike LLC (“we,” “us,” or “our”), you (“Subscriber”) agree to the following terms:


1. Services

We provide subscription-based services to enhance local business visibility. Features, pricing, and availability may vary and are subject to change without notice.


2. Billing & Payment

  • Subscriptions bill automatically each month.
  • You authorize us to charge your payment method on file for all applicable fees.
  • Failed payments may result in service suspension.
  • You are responsible for keeping your payment details accurate and up to date.


3. Multiple Locations / Service Areas

Pricing applies to one location or service area. Discounts are available for multiple locations or additional service areas.


Note: We reserve the right to work with only one business per industry within the same market area at any given time. If it is determined (at our sole discretion) that the requested project directly conflicts with our efforts on behalf of an existing client’s local marketing, you will have the option to be placed on a “stand-by” list in the event an opening becomes available.


Additionally, in rare cases and after careful evaluation, we may determine that your business is not a suitable candidate for the services we offer. Receipt of an electronic or other form of order confirmation does not signify acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right, at any time after receipt of your order, to accept or decline your order for any reason.


4. Cancellations & Refunds

  • All sales are final and non-refundable.
  • To cancel, you must email written notice to billing@localbusinessspike.com at least three (3) business days before your next billing cycle begins.
  • Upon cancellation, you will retain access to the service through the end of your current paid billing period.
  • We reserve the right to cancel subscriptions at any time for non-payment, misuse, or violation of these Terms.


5. Renewals & Pricing Changes

  • Subscriptions automatically renew unless canceled in accordance with Section 3.
  • Pricing may change upon renewal with prior notice.


6. Account & Usage

  • Subscriptions are for your business’s internal use only and are non-transferable.
  • Sharing, reselling, sub-licensing, or unauthorized use of services is strictly prohibited and may result in immediate termination without refund.
  • You are responsible for safeguarding your account login credentials.


7. Service Modifications

We may modify, suspend, or discontinue services at any time. While we strive for reliability, uninterrupted access is not guaranteed.


8. Limitation of Liability

  • Services are provided "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our maximum liability for any claim related to the services shall not exceed the amount of subscription fees you paid during the one (1) month immediately preceding the claim.


9. Indemnification

You agree to defend, indemnify, and hold harmless Local Business Spike LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of or related to your use or misuse of the services, your violation of these Terms, or your violation of any law or third-party rights.


10. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms, your subscription, or your use of our services shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Arbitration shall take place in Fulton, Georgia, unless otherwise mutually agreed.
  • Each party shall bear its own costs, including attorneys’ fees, and shall equally share the costs of the arbitrator and arbitration fees unless otherwise required by law.
  • The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.


By agreeing to these Terms, you waive your right to a trial by jury and your right to participate in class actions or representative proceedings.


11. Governing Law

These Terms are governed by the laws of the State of Georgia. Any disputes must be resolved exclusively in the courts located within Fulton County, Georgia.
